Service Agreement

This Agreement is made between:

•  Consultant: Kakuu Consulting
•  Client: [PI / -------------------------]

1. Scope of Services

The Consultant agrees to provide professional grant review and editing services, including:

• Scientific and structural review of proposal.
• Editing for clarity, compliance, and formatting.
• Strategic feedback to strengthen competitiveness.
• Shaping early-stage concepts into fundable, high-impact research ideas.
• (Optional) Resubmission planning and response to reviewer comments.

2. Fees

• Upfront Fee: Client will pay a flat fee of $----------------------------------------upon project initiation. This covers review and editing services regardless of funding outcome.
•  Success Bonus: If the grant is awarded, Client agrees to pay Consultant a bonus equal to 2% of the awarded direct costs, payable within 30 days of receiving the Notice of Award.

3. Timeline

Consultant will deliver review feedback within 15 days of receiving complete proposal materials from Client. Deadlines must be mutually agreed upon.

4. Confidentiality

Consultant agrees to treat all Client information, data, and documents as strictly confidential and will not share them without Client’s written consent.

5. No Ownership or Authorship

Consultant’s role is limited to providing editing and advisory services. Consultant will not be listed as PI, co-PI, co-author, or hold any ownership of intellectual property arising from the grant.

6. Termination

Either party may terminate this Agreement at any time by written notice. If terminated, only services rendered up to that point are payable.

7. Governing Law

This Agreement shall be governed by the laws of the state of New Jersey.
